Flow States Collective LLC - Terms of Service

Effective Date: 18/10/2025

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Flow States Collective LLC ("we," "us," or "Flow States Collective"), a Wyoming Limited Liability Company with principal business address at 30 N Gould St Ste N, Sheridan, WY 82801, USA. By using our website, services, digital programs, CRM software, and other products (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use our Services.

1. Eligibility & Account Responsibilities

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. You agree to provide accurate information and maintain the security of your login credentials. You are responsible for any activity under your account.

2. Description of Services

Flow States Collective LLC provides coaching programs, digital downloads, training in business strategy and automation, and other related services. We may recommend or integrate with third-party platforms; including but not limited to Flow OS, a separate LLC offering CRM and automation tools, to support your business needs. Use of these third-party tools is optional and governed by their own terms and privacy policies.

3. Payment Terms & Subscriptions

Subscriptions renew automatically unless cancelled before the next billing date. You authorise us to charge your selected payment method on a recurring basis.

Failed Payment & Reinstatement:

If a subscription payment fails and the retry period is exceeded, your account may be cancelled. To reinstate access, a $50 USD administrative fee will be applied. Reinstatement is subject to approval.

Currency:

All fees are in U.S. Dollars (USD) unless otherwise stated.

4. Cancellation & Refunds

You may cancel your subscription at any time from your account dashboard. After cancellation, access will remain available through the end of the billing period.

Refunds for digital products are generally not provided once access has begun, except in cases of payment processing errors or fraud. Refunds are evaluated in accordance with U.S. consumer protection laws.

5. User Content & Testimonials

If you provide testimonials, reviews, or user-generated content (UGC), you grant us the right to use, publish, reproduce, and distribute that content in perpetuity across all media.

6. Intellectual Property

All content, software, and materials are the intellectual property of Flow States Collective LLC or its licensors. You may not duplicate, distribute, or exploit our content without express written permission.

7. Privacy & Data Protection

Our use of your data is governed by our Privacy Policy. By using the Services, you consent to data practices compliant with U.S. privacy laws (including the California Consumer Privacy Act (CCPA)), and where applicable, the General Data Protection Regulation (GDPR).

8. Use Restrictions

You agree not to:

Use the Services for any unlawful purpose

Violate intellectual property rights

Upload malware or spam

Interfere with system integrity or security

9. Limitation of Liability

To the fullest extent permitted by law, Flow States Collective LLC is not liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid by you in the three (3) months preceding any claim.

Some states may not allow certain limitations, in which case these limitations shall apply to the fullest extent permitted by law.

Flow States Collective LLC is not affiliated with or responsible for the operation of Flow OS or any other third-party software tools recommended during our programs.

10. Indemnification

You agree to indemnify and hold harmless Flow States Collective LLC, its owners, affiliates, and contractors from any claims, damages, or expenses arising out of your use of the Services or breach of these Terms.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.

12. Modifications

We reserve the right to update these Terms at any time. Changes will be posted to this page with an updated effective date. Continued use of the Services after changes constitutes acceptance of the new Terms.

13. Entire Agreement

These Terms, along with our Privacy Policy and any service-specific terms, constitute the full agreement between you and Flow States Collective LLC and supersede any prior agreements.
